1. Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of the OrbitExSpace website located at orbitexspace.com (the "Site"), including all content, features, and functionality made available through it. The Site is operated by OrbitExSpace Inc. ("OrbitExSpace", "we", "us", or "our").
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Site. Your use of the Site constitutes your acknowledgement that you have read, understood, and accepted these Terms on your own behalf and, where applicable, on behalf of any entity you represent.
These Terms apply to all visitors, whether or not you register an account, submit information, or otherwise interact with the Site. Certain features, where available, may be subject to additional terms that are incorporated by reference into these Terms.
2. Definitions
In these Terms, the following terms have the following meanings:
"Site" means the OrbitExSpace website at orbitexspace.com and any subdomains operated by us.
"Content" means all text, graphics, images, logos, designs, software, code, and other materials made available through the Site.
"User" or "you" means any individual or entity that accesses or uses the Site.
"User Submissions" means any information or material you voluntarily provide to us through the Site, including contact form submissions and email correspondence.
3. Eligibility
The Site is intended for use by individuals and entities that are authorized to enter into binding agreements. You represent and warrant that you are at least 16 years of age (or the age of legal majority in your jurisdiction) and have the legal capacity to agree to these Terms. If you are using the Site on behalf of an entity, you represent and warrant that you are authorized to bind that entity to these Terms.
4. Use of the Site
You may use the Site for lawful, legitimate purposes only. You agree not to:
- Use the Site in any manner that violates applicable laws, regulations, or third-party rights.
- Attempt to gain unauthorized access to any part of the Site, its systems, networks, or data, including through hacking, password mining, or other intrusive means.
- Introduce or attempt to introduce viruses, worms, malware, or any other malicious code or harmful material.
- Interfere with or disrupt the operation of the Site, its servers, or the networks on which it relies, including by imposing unreasonable load or attempting to exhaust resources.
- Scrape, crawl, copy, harvest, or republish substantial portions of Content without our prior written permission.
- Use automated means, including bots, spiders, or scripts, to access or collect data from the Site, except for publicly available search engines indexing the Site in good faith.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software underlying the Site, except to the extent permitted by applicable law.
- Use the Site to transmit unsolicited communications, advertising, or promotional material.
- Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
- Collect or store personal data of other users without their consent.
5. Intellectual Property
All Content on the Site — including text, graphics, images, logos, designs, illustrations, software, code, and documentation — is owned by or licensed to OrbitExSpace Inc. and is protected by applicable intellectual property laws, including copyright, trademark, and trade dress laws.
The OrbitExSpace name, logo, and other marks displayed on the Site are trademarks of OrbitExSpace Inc. Other marks that may appear are the property of their respective owners. Nothing on the Site grants you any right or license to use any of our trademarks or the trademarks of third parties without prior written permission.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any Content without our prior written consent, except as permitted by applicable law.
6. User Submissions
When you submit information through the contact form or email us, you represent and warrant that: (a) the information is accurate and not misleading; (b) you are authorized to provide it; (c) providing it does not violate any applicable law or third-party right; and (d) the content does not infringe the intellectual property or confidentiality rights of any third party.
You grant OrbitExSpace a non-exclusive, royalty-free, worldwide license to use, copy, and process your User Submission for the sole purpose of responding to your inquiry and maintaining a record of the correspondence. We do not claim ownership of your User Submissions, and we will not use them for any purpose other than as described in this section and our Privacy Policy.
Please do not send us confidential, proprietary, or trade secret information through the Site. Any unsolicited submission may be used by us without restriction, and you waive any claims to compensation for such use.
7. Information About Our Programs
The Site describes OrbitExSpace's programs, including the ARES program, the Pioneer platform, and our roadmap. All such descriptions reflect work in development. Specifications, capabilities, timelines, and technical details may change without notice, and nothing on the Site should be interpreted as a commitment, representation, or warranty regarding the final design, performance, or availability of any system.
For the avoidance of doubt: (a) OrbitExSpace has not completed any spaceflight missions; (b) OrbitExSpace does not claim any partnership, endorsement, or affiliation with NASA, ESA, or any other space agency; and (c) all programs are in development unless explicitly stated otherwise in a separate written agreement.
The Site may contain forward-looking statements based on current expectations and assumptions. Actual results may differ materially. We undertake no obligation to update forward-looking statements.
8. Disclaimer of Warranties
The Site and its Content are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, OrbitExSpace and its affiliates, officers, employees, and licensors disclaim all warranties, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that any defects will be corrected. You access and use the Site at your own risk. Any reliance on the Site or its Content is at your sole risk.
No advice or information, whether oral or written, obtained from or through the Site, creates any warranty not expressly stated in these Terms.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall OrbitExSpace Inc., its affiliates, officers, directors, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or related to your access to or use of, or inability to access or use, the Site or its Content, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
To the extent applicable law does not allow the exclusion or limitation of certain damages, the foregoing limitations apply to the fullest extent permitted. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability; in such cases, our liability will be limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify and hold harmless OrbitExSpace Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or in connection with: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) your User Submissions. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with us in asserting any available defenses.
11. Third-Party Links and Content
The Site may contain links to third-party websites, services, or content that are not owned or controlled by us. We provide these links for convenience only and do not endorse or assume responsibility for the content, policies, or practices of any third-party site. You access and use third-party sites at your own risk and are subject to their terms and privacy policies.
12. Termination and Suspension
We may suspend or terminate your access to the Site at any time, with or without cause or notice, and without liability. Upon termination, all licenses granted to you under these Terms will immediately cease. We may also modify, discontinue, or restrict access to any feature of the Site at any time without notice.
The provisions of these Terms that by their nature should survive termination — including those regarding intellectual property, disclaimers, limitations of liability, indemnification, and governing law — will remain in effect after termination.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of California and the United States of America, without regard to conflict-of-law principles. You and OrbitExSpace agree to submit to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, for the resolution of any dispute arising out of or relating to these Terms or the Site.
Before initiating litigation, the parties agree to attempt in good faith to resolve any dispute through written notice and informal negotiation. If the dispute is not resolved within sixty (60) days of such notice, either party may initiate formal proceedings.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
14. Class Action Waiver
To the fullest extent permitted by applicable law, you and OrbitExSpace agree that any dispute will be brought individually and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding, and the parties expressly waive any right to participate in such proceedings.
15. Privacy
Our collection and use of personal data in connection with the Site is described in our Privacy Policy, which is incorporated by reference into these Terms. By using the Site, you agree to the data practices described in the Privacy Policy.
16. Changes to These Terms
We may revise these Terms at any time by posting an updated version on the Site. The version date shown indicates the latest revision. Your continued access to or use of the Site after the effective date of any change constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Site.
17. Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or, if it cannot be modified, it will be severed from these Terms, and the remaining provisions will remain in full force and effect.
18. Entire Agreement
These Terms, together with any policies referenced herein, constitute the entire agreement between you and OrbitExSpace regarding the Site and supersede all prior or contemporaneous understandings, communications, and agreements, whether written or oral, regarding the Site.
